Overview
We are a specialty pharmaceutical company with market leadership in pain management. We are engaged in the research, development, sale and marketing of branded and generic prescription pharmaceuticals used primarily to treat and manage pain. According to IMS Health data, the total U.S. market for pain management pharmaceuticals, excluding over-the-counter products, totaled $18.9 billion in 2004. This represents an approximately 16% compounded annual growth rate since 2000. Our primary area of focus within this market is in the opioid analgesics segment. Total U.S. sales for this segment were estimated to be $6.3 billion in 2004, representing a compounded annual growth rate of 20% since 2000.

We have established research and development expertise in analgesics and devote significant resources to this effort so that we can maintain and develop our product pipeline. Our late-stage branded product pipeline includes two filed NDAs and six products in Phase III or Phase II clinical trials.

Through an internal sales force of approximately 370 sales representatives in the United States, we market our branded pharmaceutical products to high-prescribing physicians in pain management, surgery, oncology, anesthesiology and primary care. Our sales force also targets retail pharmacies and other healthcare professionals throughout the United States.

1920 – A family-run pharmaceutical business is established in Manhattan, NY, later named Endo.

1969 – E.I. du Pont de Nemours and Company (DuPont) acquires Endo.

1990 – DuPont and Merck & Company form an independent joint venture, known as The DuPont Merck Pharmaceuticals Company (DuPont Merck).

1994 – DuPont Merck reestablishes Endo as a separate entity with the company. This entity is named Endo Laboratories L.L.C. and serves as DuPont Merck's generic division.

1997 – Three executives of DuPont Merck acquire certain products from DuPont Merck in a management buyout. With equity financing from Kelso & Company, a well-known, private investment firm, Carol A. Ammon, Chairman, President & CEO, and Mariann T. MacDonald, Executive Vice President, Operations, along with another colleague, purchase all of Endo Laboratories L.L.C.'s generic products along with 12 important brand products, including Percocet® and Percodan®. The principals name their new company Endo Pharmaceuticals Inc.

July 17, 2000 – Endo Pharmaceuticals acquires Algos Pharmaceutical Corporation, an innovative pharmaceutical company with a patent-protected technology, through a merger. As a result of this merger, Endo Pharmaceuticals begins to trade publicly (NASDAQ: ENDP).

October 2001 – Endo Pharmaceuticals successfully completes a secondary offering for a total of 12,925,000 shares of its common stock. The net proceeds were used to pay existing bank debt.

Frova(R) Meets Primary Endpoint in Second Phase III Study for Prevention of Menstrual Migraine - Data to be Included as Part of Supplemental NDA to FDA - WINNERSH, England and CHADDS FORD, Pa., May 8 /PRNewswire-FirstCall/ -- Vernalis plc (LSE: VER, Nasdaq: VNLS) and Endo Pharmaceuticals Holdings Inc. (Nasdaq: ENDP) today announced top-line data from the second Phase III efficacy study of Frova(R) (frovatriptan succinate) 2.5 mg tablets for the short-term (six-days per month) prevention of menstrual migraine (MM). The data from this study corroborate the positive findings in a prior efficacy study published in Neurology in July 2004 (ref: 2004, 63: 261-269). Endo expects to file a supplemental New Drug Application (sNDA) with the U.S. Food and Drug Administration (FDA) in the coming weeks to seek approval for the additional indication of Frova(R) for the prevention of menstrual migraine. If approved, Frova(R) will be the only triptan indicated in the US for the prevention of MM. Frova(R) is FDA-approved for the acute treatment of migraine attacks with or without aura in adults where a clear diagnosis of migraine has been established. "Menstrual migraines can have significant impact on a woman's life. The preliminary results of this study are encouraging for women who suffer from menstrual migraine and who have not responded well to acute treatment," said the lead investigator in the trial, Jan Lewis Brandes, M.D., of the Nashville Neuroscience Group and of the Department of Neurology at Vanderbilt University School of Medicine. "There is an unmet need for a new treatment option that is well-tolerated, effective and capable of preventing menstrual migraine from occurring," stated Stephen Silberstein, M.D., professor of neurology at the Jefferson Medical College of Thomas Jefferson University, director of the Jefferson Headache Center and lead investigator of the initial efficacy study of Frova(R) for the short-term prevention of menstrual migraine. "Menstrual migraine sufferers deserve a treatment tailored to their condition."
